1. The Company’s legal and commercial name is: Austral Pacific Energy Ltd. It changed its name from “Indo-Pacific Energy Ltd” on December 31, 2003. 2. The Company was incorporated on July 31, 1979 under the name Pryme Energy Resources Ltd. under the Company Act (British Columbia, Canada), and has operated continuously since that time. 3. The Company is now domiciled in the Yukon in Canada, and operates as a corporation under the Business Corporations Act (Yukon). Subsequent to December 31, 2005, the Board of Directors of the Company resolved to propose the return of the Company’s incorporation to British Columbia to the annual meeting of shareholders in May 2006.
